Can Two Businesses Have the Same Name?

Short answer: yes, sometimes. Two businesses can legally share a name in some situations — and get forced into an expensive rebrand in others. The difference comes down to four separate checks. A name can pass three of them and still fail the fourth.

The 4-part test

  1. Trademark. This is the check that matters most. If someone already uses a confusingly similar name for similar goods or services, your use can be a problem — even if your LLC registration was approved. Different industries can coexist (the classic example: Delta faucets and Delta Air Lines), but similarity within the same category is where conflicts start.
  2. State / LLC registration. A state registry usually blocks only an exact match within that state and that entity type. The same name registered in another state is normally allowed. Approval from a state registry is not proof that the name is trademark-clear.
  3. DBA / trade name. A DBA (“doing business as”) filing is local and gives the weakest protection. Someone else filing the same DBA in another county or state is common.
  4. Domain + social handles. These are first-come, first-served and separate from the legal right to use a name. Owning the .com does not grant trademark rights — and having trademark rights does not guarantee you the .com.

What to do before you commit

  1. Run the free check: domain + social handles + trademark pre-screen, with sources shown.
  2. If the trademark pre-screen flags a similar mark in your category, pick an alternative — the $9 clearance report gives you 12 ranked ones.
  3. If a real legal decision is on the line, confirm with a trademark attorney. This page is general information, not legal advice.
